In connection with your photograph submission, you affirm, represent and warrant the following:

1. You have the written consent of each and every identifiable natural person in the photograph submission to use such person’s name, likeness, or other Personal Information in the manner contemplated by the Service and these Terms, and each such person has released you from any liability that may arise in relation to such use.

2. Your photograph submission and Proper Portraits’ use thereof as contemplated by these Terms and the Service will not violate any law or regulation or infringe any rights of any third party, including but not limited to any Intellectual Property Rights and privacy rights.

3. Proper Portraits may exercise the rights to your photograph submission granted under these Terms without liability for payment of any guild fees, residuals, payments, fees, or royalties payable under any collective bargaining agreement or otherwise.

4. Your photograph submission and Proper Portraits’ use thereof as permitted by these Terms and the Service will not slander, defame, libel, or invade the right of privacy, publicity, or other property rights of any other person.

Proper Portraits takes no responsibility and assumes no liability for any photograph submission that you or any other User or third party posts or sends over the Service. You shall be solely responsible for your photograph submission and the consequences of posting or publishing it, and you agree that we are only acting as a passive conduit for your online distribution and publication of your photograph submission. You understand and agree that you may be exposed to photograph submission that is inaccurate, objectionable, inappropriate for children, or otherwise unsuited to your purpose, and you agree that Proper Portraits shall not be liable for any damages you allege to incur as a result of the photograph submission.

Proper Portraits reserves the right to refuse to print any Product that contains the photograph submission that it determines, in its sole discretion, is in violation of these Terms, and you agree to indemnify and hold Proper Portraits harmless for any claims, losses, liabilities and expenses arising out of or relating to any breach of such section. Proper Portraits will fully co-operate with any law enforcement authorities or court order requesting or directing the Proper Portraits to disclose the identity and/or location of anyone posting any material in breach of these Terms.
